[How-to] Navigate the Terms and Conditions of the EZRentOut Customer Referral Program

Effective Date: [5th November, 2025]

These Terms and Conditions (“Terms”) govern your participation in the Referral Program (“Program”) offered by EZO (“Company”, “we”, “us”, or “our”). By participating in this Program, you agree to have read, understood and abide by these Terms. For the purposes of these Terms, Referrers and Referees shall be referred to as (“Participant”) or (“Participants”) collectively.  This Promotion is not valid with other promotions or discounts that may be offered by EZO from time to time and is subject to change at our sole discretion without notice. 

1. Eligibility

1.1 Referrers.

Participation is open to active and current customers of EZR. Each participant must (i) be a natural person or authorized representative of a valid entity or business, (ii) be at least 18 years of age, (iii) have a valid email address, (iv) be a resident of North America and (v) have the capacity of forming a binding contract under applicable law.

The Referrer will not be eligible to participate in this Program if he/she is: (i) currently employed full-time, part-time or under contract by EZO; or (ii) below the age of 18; or (iii) not a real person i.e. a bot or other related technology; or (iv) not a resident of North America 

1.2 Referees.

Referees must: (i) be new to EZR, (ii) not be current customers of EZR , and (iii) not be in active communication with the EZO Sales Team.

2. How the Program Works

2.1 Enrollment.

Each EZRentOut user shall be assigned a referral link and referral code which can be retrieved and accessed within the EZRentOut application. Users can access the referral link and code at the Help Center which is located at the top of the navigation bar. Referrers shall receive the referral code from a valid referee which can be redeemed pursuant to Section 2.2 below. .

2.2 Referral Code Usage.

Referrers shall receive a unique referral code that can be used multiple times across multiple referees.  The referral code is linked to the login credentials of the Account Owner. If a Referrer changes organizations or can no longer access the account, they must re-register for an account to obtain a new code. Each user on the EZR account will receive a unique referral code that will be visible on their account. The code shall be available in the Help Center which is located at the top navigation bar on the EZR account. Users should click “Refer a Friend” to get the code and referral link. The code will be valid only after 30 days after the first successful payment on the account has been made by the Referer. Once the code is shared with a Referee, the Referee will then enter the code upon checkout when making payment on their EZR account. 

Referral rewards are non-transferable, non-replaceable and non-exchangeable for another item or returned for cash, and any other item in whole or in part, and if lost or stolen.

2.3 Referral Process.

A referral is made when a Referee uses a valid referral code during their sign-up. A referral is considered valid only if the Referee is not an existing customer or not already in our sales pipeline. Once the Referee has completed 30 days of active usage after the first successful payment on the account, the Referrer becomes eligible for rewards. Eligibility confirmation and reward distribution occur 60 days after the first successful payment on the account. Both Referer and Referee are deemed to have accepted and agreed to the EZO Terms of Service available at https://ezo.io/terms-of-service/, if either party purchases, uses, or carries out any activity or transaction on any of the four software product offerings by EZO. EZO’s decision on all matters relating to this Program and all disputes will be at its sole discretion and will be final and binding on all Participant(s).

3. Reward Structure

3.1 Referrer Rewards.

Referrers shall receive an Amazon gift card in accordance with the number of valid referrals made. Reward shall increase based on the number of valid referrals as illustrated in the table below:

All credits applied to accounts are subject to standard invoicing and taxation policies.

3.2 Referee Rewards.

Each Referee shall be eligible to receive a $100 dollar gift card once the Referrer claims their reward from the account.  

3.3 Annual Reward Cap.

Referrers may earn a maximum of $550 per calendar year through this Program.

4. Compliance

In addition to the other legal requirements in these Terms, Participant(s) expressly agree to comply with the following:

4.1 Anti-Bribery Laws and Reporting. Participant will comply with all applicable commercial and public anti-bribery laws (“Anti-Bribery Laws”), including the U.S. Foreign Corrupt Practices Act of 1977 and the UK Bribery Act of 2010, which prohibit corrupt offers of anything of value, either directly or indirectly to anyone, including government officials, to obtain or keep business or to secure any other improper commercial advantage. “Government officials” include any government employee; candidate for public office; and employees of government-owned or government-controlled companies, public international organizations, and political parties. Furthermore, Participant(s) will not make any facilitation payments, which are payments to induce officials to perform routine functions they are otherwise obligated to perform. If Participant(s) becomes aware of suspicious, illegal or fraudulent activity occurring in relation to these Terms, Participant(s) will report the suspicious or fraudulent activity to EZO within 24 hours of identifying the suspicious or fraudulent activity via email at support@ezo.io

4.2 Export Control Laws. Participant(s) will comply with all applicable export and re-export control laws and regulations, including (i) the Export Administration Regulations (“EAR”) maintained by the U.S. Department of Commerce, (ii) trade and economic sanctions maintained by the U.S. Treasury Department’s Office of Foreign Assets Control, and (iii) the International Traffic in Arms Regulations (“ITAR”) maintained by the U.S. Department of State.

4.3 Acceptable Use Policy. Participant(s) will not send, post, transmit or otherwise use any EZO provided content, including the EZO name or the Services, in connection with any materials, sites or otherwise that: (i) will generate or facilitate unsolicited bulk commercial emails; (ii) will, or otherwise encourage, the violation of the legal rights of others; (iii) is for an unlawful, invasive, infringing, defamatory, or fraudulent purpose; (iv) contains obscene or pornographic content.

4.4 Certification. Participant represents, warrants and certifies to EZO that: (i) it has legal authority to enter into these terms and participate in the Program; (ii) its employment contract (if applicable) does not restrict it from participating in the Program, and where Participant is also a representative, agent or an employee of an EZO reseller it has also obtained a valid consent from its employer to participate; (iii) each Referral submitted by Participant(s) will be reasonably made in good faith as an eligible referral; and (iv) it will comply with all applicable laws and governmental regulations, including without limitation, as described in this Section 4 above.

5. Taxes

All rewards may be considered taxable income depending on your jurisdiction. Referrers are solely responsible for any applicable taxes on rewards redeemed under this Program. 

6. Modification and Termination of the Program

EZO reserves the right to terminate this Customer Referral Program at any time, and/or vary the terms and conditions governing this Program from time to time, without having to provide any prior notice including varying any part or all of the Customer Referral Program. In the event of termination, all valid referrals made before the termination date will be honored under the existing terms.

In the event of any inconsistency between these Terms and any advertising, promotional materials, publicity and/or other related documentation relating to or in connection with this Program, these Terms shall take precedence and prevail. 

7. Limitation of Liability

EZO shall not be under any obligation to carry out any investigation/verification of the identity/eligibility of the persons accepting the referral rewards using the referral codes and/or persons using the referral rewards. EZO shall not be responsible or held liable for any liabilities, losses, damages, costs, or expenses whatsoever arising or resulting from any improper or unauthorized use/replication of any of the referral codes, wrongful redemption or any discrepancy, error, inaccuracy or misunderstanding in relation to the identity/eligibility of the persons accepting the referral rewards using the referral codes and/or the persons using the referral reward. 

EZO shall not be liable for any delay in reward fulfillment due to inaccurate, incomplete or unavailable information provided by the Referer or Referee.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles.
